Welcome to Nautex AI ("Nautex," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, web application, API, and local utility software (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By registering for an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Nautex provides a specification management platform for product builders and coding agents. The Service allows users to create, manage, and visualize product requirements, technical specifications, and implementation plans. The Service includes:

  • Nautex Web Application: A cloud-based platform for authoring and managing specifications.
  • Nautex Utility: A downloadable command-line interface (CLI) and Model Context Protocol (MCP) server that runs locally on your machine to synchronize specifications with your development environment.

3. User Accounts

3.1 Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information up-to-date.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Content

4.1 Ownership

You retain all rights, title, and interest in and to the data, specifications, diagrams, and other content you upload, create, or store in the Service ("User Content").

4.2 License to Nautex

By submitting User Content to the Service, you grant Nautex a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of providing, maintaining, and improving the Service. This includes the right to process your content through third-party Large Language Model (LLM) providers as described in our Privacy Policy.

4.3 Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Infringe the intellectual property or other rights of third parties.
  • Distribute malware, viruses, or other harmful computer code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Reverse engineer, decompile, or disassemble any portion of the Service.

6. Third-Party Services and Coding Agents

6.1 Coding Agents

The Service is designed to interoperate with third-party coding agents and IDEs (e.g., Cursor, Claude Code). These tools are not part of the Nautex Service and are governed by their own terms and privacy policies. Nautex is not responsible for the actions, errors, or omissions of these third-party tools running on your local machine.

6.2 LLM Providers

The Service utilizes third-party LLM providers (e.g., OpenAI, Anthropic, Google) for AI-assisted features. By using these features, you acknowledge that your User Content may be processed by these providers as described in our Privacy Policy.

7. Fees and Payment

7.1 Subscriptions

The Service offers Free, Pro, and Enterprise subscription plans. Paid subscriptions are billed in advance on a recurring basis.

7.2 Payment Processing

We use Stripe, a third-party payment processor, to handle payments. We do not store your full credit card information.

7.3 Changes to Fees

We reserve the right to change our pricing at any time. Any price changes will be effective upon your next billing cycle after notice to you.

8. Intellectual Property Rights

The Service, including its software, design, text, graphics, and logos, is the exclusive property of Nautex and its licensors. The "Nautex" name and logo are trademarks of Nautex AI.

The Nautex Utility (CLI/MCP) is available under an open-source license, as specified in its respective repository. Your use of the Nautex Utility is governed by the terms of that license.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NAUTEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NAUTEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nautex, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
